The role supports effective governance, regulatory compliance, risk management and sound decision-making within the Company.

The Non-Executive Director of Admirals SC Ltd is responsible for providing independent oversight, objective judgement and constructive challenge to the Board and senior management. The role supports effective governance, regulatory compliance, risk management and sound decision-making within the Company.

**Key Responsibilities**

The Non-Executive Director will be responsible for:

-   attending and actively participating in Board meetings;
-   providing independent judgement and constructive challenge on the Company’s strategy, governance, business model and risk appetite;
-   reviewing and challenging management reports, compliance reports, AML/CFT reports, audit findings, risk assessments and regulatory updates;
-   supporting the Board in ensuring compliance with applicable Seychelles financial services legislation, AML/CFT requirements, FSA codes, guidelines, directives and licence conditions;
-   overseeing key risk areas, including client onboarding, client classification, complaints handling, outsourcing, conflicts of interest, safeguarding of client assets and business conduct;
-   supporting Board oversight of the Company’s approved securities dealing activities, including stocks, ETFs and contracts for difference;
-   ensuring that Board decisions are properly considered, documented and followed up;
-   disclosing any actual or potential conflicts of interest and acting independently in the best interests of the Company

**The appointment will be subject to satisfactory due diligence, assessment of the candidate’s CV, qualifications and experience, and any required notification or approval process with the Seychelles Financial Services Authority.**

## Requirements

The candidate should have:

• at least 4 years’ experience in a directorship, senior management or equivalent governance position;

• relevant academic and/or professional qualifications in finance, law, accounting, compliance, risk management, corporate governance, business administration or a related field;

• knowledge or experience in regulated financial services, securities dealing, brokerage, investment services or capital markets; • understanding of directors’ duties, corporate governance, regulatory compliance, AML/CFT obligations and risk management; • ability to read, understand and challenge Board papers, compliance reports, audit reports, risk assessments and financial information;

• sufficient independence, availability and commitment to perform the role effectively.

Fit and Proper Requirements The appointed individual must be able to satisfy the applicable fit-and-proper expectations for a director of a Seychelles regulated Securities Dealer, including:

• probity, honesty and integrity;

• competence and capability;

• financial soundness;

• sound judgement and independence of mind;

• absence of regulatory sanctions, disqualification, serious misconduct, dishonesty, fraud, financial crime or other matters that may affect suitability.
