## Description

Our client, The East African Crude Oil Pipeline (EACOP) is a major midstream development spanning Uganda and Tanzania. It includes the construction and operation of a nearshore Marine Tanks and Terminals (MTT) facility in Tanzania. Once completed, the EACOP Company will operate a 1,443 km electrically heated crude oil export pipeline, transporting crude oil from Kabaale–Hoima in Uganda to the Chongoleani Peninsula near Tanga Port in Tanzania for export to international markets.

The Senior Legal Advisor will be responsible for assisting the Legal Manager (Tanzania) and the Legal Director with the timely provision of sound legal advice, opinions or directives and provide legal support to the various business units within the Company on various complex matters including operations, land, contracts, environmental, labour and employment matters and general administrative matters including assuring the general compliance of the Tanzanian Branch with various laws.

The role also includes supporting the Legal Department in protecting the Company's legal and commercial interests by managing legal risks and supporting the conduct of litigation, arbitration and other dispute resolution proceedings involving the Company, including coordinating with external counsel, assisting in case preparation, developing litigation strategies and ensuring the effective management of legal proceedings.

**Principle Responsibilities** 

-   Prepare, draft, negotiate, review and advise on contracts, documents and correspondences relating to the Company’s operations and other business functions, ensuring that the Company's legal and commercial interests are adequately protected.
-   Provide legal advice and opinions on the interpretation, application and enforcement of applicable commercial framework, Tanzanian laws and regulations affecting the Company's activities, advise management on legal and regulatory risks, and develop practical, commercially sound solutions to support the Company's objectives.
-   Monitor, manage and record all disputes, grievances, claims or legal issues arising from the Company’s activities in Tanzania and report the same to the Tanzania Legal Manager.
-   Develop and maintain contract summaries, standard templates and other knowledge management resources, and assist the Legal Manager in training the business units on contractual obligations, regulatory compliance, legal risk and other matters relevant to the Company's operations.
-   Monitor legislative and regulatory developments affecting the Company's activities, provide legal support for regulatory approvals, licences and statutory filings, engage with Government ministries, regulators and other statutory authorities on legal and regulatory matters, and ensure the Tanzania Branch's ongoing compliance with all applicable corporate, legal and regulatory obligations.
-   Support the Legal Manager and Company Secretary in maintaining the Tanzania Branch's corporate governance framework by coordinating corporate filings, maintaining statutory records, and ensuring compliance with applicable corporate governance and company law requirements.
-   Support the Legal Manager in the conduct of litigation, arbitration and other judicial or quasi-judicial proceedings involving the Company, including coordinating with external counsel, preparing legal submissions, managing evidence and witnesses, and implementing agreed dispute resolution strategies.
-   Support the development, review and implementation of Company policies, procedures and legal compliance initiatives to ensure alignment with applicable laws, regulatory requirements and corporate governance standards.
-   Identify, assess and proactively manage legal risks arising from the Company's activities, develop appropriate risk mitigation strategies, and provide timely advice to management to minimise legal exposure and support informed decision-making.
-   Manage legal engagements with Government ministries, regulatory authorities, external counsel, contractors, project partners, lenders and other key stakeholders, and provide legal support to facilitate constructive relationships, regulatory compliance and the effective delivery of the Company's objectives.
-   Support the Legal Manager in providing strategic legal support across all aspects of the Company's activities and operations in Tanzania, ensuring that legal advice is aligned with the Company's strategic, operational and commercial objectives.
-   Develop and maintain regulatory compliance frameworks, monitor compliance with legal and regulatory obligations, conduct periodic compliance reviews, and support internal audits and corrective action initiatives.
-   Undertake such other assignments as required in furtherance of the Department’s mandate.

## Requirements

-   Bachelor’s Degree (minimum Upper Second) in Law, qualified to practice in Tanzania.
-   5 years post qualification legal experience in a commercial law firm in Tanzania, with experience working on international projects and with international clients. Experience in dealing with land, commercial, employment, litigation matters and government-facing activities, with an ability to work in multi-cultural environment.
-   Experience or qualification in Oil & gas, construction or infrastructure projects will be an added advantage.
-   Excellent contract drafting and negotiation skills.
-   Strong interpersonal and communication skills.
-   Strong organisational skills with the ability to manage multiple tasks and prioritise accordingly.
-   Attention to detail with excellent verbal and written communication skills.
-   Demonstrable ownership and accountability for assigned responsibilities.
-   Good communication skills (in English speaking and writing)
-   Proficiency with Microsoft Office (Excel, PowerPoint, Word, and Outlook)
