**What will you be doing?**

We are looking for a highly skilled Senior Compliance Officer to join our Legal Department, responsible for developing, implementing and continuously improving the Navarino Group Compliance Function across all jurisdictions in which the Group operates. The role promotes a culture of ethical business conduct, helps the business identify, assess and manage compliance risks, and supports adherence to applicable laws, regulations, industry standards and internal policies.

Particular emphasis is placed on sanctions compliance, export controls, trade compliance, third-party due diligence and technology-related compliance risks relevant to the Group’s maritime, satellite communications, software, IT and cybersecurity activities.

The Senior Compliance Officer will work closely with the Sustainability & Trust Office, Group Data Protection Officer and other functions to embed compliance into the Group’s operations, commercial activities and strategic initiatives.

This is a hands-on role combining operational execution with strategic contribution to the Group's compliance framework, providing dedicated ownership, structure and resources to the Compliance Function.

The Senior Compliance Officer reports to the Chief Legal Officer and, when required, directly to top management. This is a senior, hands-on, individual-contributor role: during the initial establishment of the Compliance Function it will have no direct reports and is not a people-management position. The successful candidate will personally perform the full range of compliance activities described below, formalising, taking ownership of and further developing compliance-related tasks and processes already undertaken within the Legal Department.

In this role you will:

**Compliance Governance and Ethics**

-   Develop, implement and maintain the Group Compliance Function, including compliance policies, procedures, guidance and registers
-   Promote a culture of integrity, ethical business conduct and accountability across all business functions

**Counterparty Due Diligence and KYC**

-   Own and coordinate risk-based due diligence, onboarding and ongoing monitoring for customers, vessel owners/managers, resellers, sales agents, suppliers and other third parties
-   Identify and escalate sanctions, integrity and reputational risks, and drive continuous improvement of KYC and third-party compliance processes

**Sanctions, Export Controls and Trade Compliance**

-   Monitor developments and maintain procedures covering sanctions, export controls and trade compliance relevant to the Group’s products, software, services and technologies
-   Support screening and assessments involving restricted parties, controlled technologies and cross-border transactions, escalating significant risks to the Chief Legal Officer

**Anti-Bribery, Corruption and Business Integrity**

-   Maintain and further develop the Group’s anti-bribery framework, including gifts, hospitality and conflicts of interest processes
-   Support third-party integrity reviews and initiatives relating to ethical conduct, modern slavery and responsible business

**Technology and Software Compliance**

-   Develop policies and governance relating to software compliance, open-source licensing and technology risk
-   Work with Product, Engineering, IT and Legal to manage compliance risks across software development, procurement and technology partnerships

**Training, Monitoring, Investigations and Reporting**

-   Develop and deliver compliance training and awareness, and coordinate whistleblowing and speak-up mechanisms
-   Support internal investigations and prepare compliance reporting, metrics and updates for the Chief Legal Officer and Senior Management

**Responsibilities Outside the Scope of the Role**

The Senior Compliance Officer is not responsible for:

-   Provision of legal advice or legal representation
-   Ownership of data protection and privacy programs
-   Responsibilities assigned to the Group Data Protection Officer
-   Ownership of ISO certifications, management systems or the Group Risk Register
-   ESG programs, sustainability initiatives or sustainability reporting
-   Internal audit activities

The Senior Compliance Officer shall collaborate with the relevant functions in these areas where appropriate.

**Key Success Factors**

Success in this role will be measured by the individual’s ability to:

-   Establish, maintain and continuously improve an effective and practical compliance framework
-   Enhance compliance awareness and culture across the Group
-   Improve due diligence, KYC and third-party compliance processes
-   Support effective management of sanctions, export control and trade compliance risks
-   Strengthen governance relating to software, technology and open-source compliance
-   Build constructive working relationships with the Sustainability & Trust Office, the Group Data Protection Officer and other key stakeholders
-   Deliver practical, risk-based compliance solutions aligned with the Group’s commercial objectives
-   Support the Group’s continued growth while protecting its reputation, integrity and commitment to ethical business conduct
-   Build strong collaborative relationships across the organisation while maintaining independent judgement and professional integrity

## Requirements

-   Substantial demonstrated experience (typically at least 7-10 years) in compliance, governance, legal, risk management or related functions, sufficient to operate autonomously in a senior, hands-on capacity
-   A degree in Law, Compliance, Business, Risk Management, Governance or a related discipline is preferred
-   Strong analytical, organisational and problem-solving skills
-   Ability to exercise sound judgement and manage sensitive matters with discretion
-   Excellent communication and stakeholder management skills
-   Ability to work independently while collaborating effectively across multiple business functions
-   Excellent command of the English language, both written and spoken
-   Legal qualifications and/or prior legal practice experience will be considered advantageous
-   Experience within an international business environment and exposure to multi-jurisdictional operations is strongly preferred
-   Experience within maritime, shipping, telecommunications, satellite communications, technology, cybersecurity or similarly regulated sectors will be considered advantageous
-   Familiarity with sanctions, export controls, trade compliance, anti-bribery and corruption, third-party due diligence and corporate compliance frameworks
-   Exposure to software licensing, software governance, technology compliance or open-source software compliance will be considered advantageous
