We are looking for an experienced **Head of Company Secretary & Legal** to lead the organization’s secretarial, corporate governance, legal, and compliance functions. The role requires a senior professional who can provide strategic legal guidance, ensure robust corporate governance, manage statutory and regulatory requirements, and act as a trusted advisor to the leadership team and Board of Directors.

The ideal candidate will have strong expertise in **secretarial functions and legal matters**, along with extensive experience in managing corporate secretarial work, legal compliance, regulatory requirements, and stakeholder interactions across a complex business environment.

## Requirements

### Key Responsibilities

### Company Secretarial & Governance

-   Lead all **company secretarial functions**, ensuring compliance with applicable corporate laws, regulations, and governance standards.
-   Manage Board and Committee meetings, including preparation of agendas, notices, minutes, resolutions, and statutory records.
-   Coordinate with the Board of Directors, senior management, auditors, regulators, and external advisors on governance matters.
-   Maintain statutory registers, corporate records, filings, and documentation in accordance with applicable requirements.
-   Provide guidance to the Board and management on corporate governance, statutory obligations, and regulatory developments.
-   Oversee incorporation, restructuring, share capital, corporate actions, and other company secretarial activities.

### Legal Management

-   Lead the organization’s **legal function**, providing strategic and practical advice on business and corporate matters.
-   Draft, review, negotiate, and manage commercial agreements, contracts, NDAs, vendor agreements, partnership arrangements, and other legal documents.
-   Identify legal risks and provide recommendations to mitigate potential exposure.
-   Manage relationships with external legal counsel and coordinate litigation, disputes, notices, and regulatory matters.
-   Support business teams in evaluating legal implications of strategic initiatives, transactions, investments, and commercial arrangements.

### Compliance & Risk Management

-   Ensure timely and accurate **legal and regulatory compliance** across the organization.
-   Monitor changes in corporate, commercial, and other applicable laws and translate regulatory developments into actionable business requirements.
-   Establish and strengthen compliance frameworks, policies, processes, and internal controls.
-   Conduct periodic reviews and assessments to identify potential compliance gaps and recommend corrective measures.
-   Support internal and external audits and ensure timely closure of compliance-related observations.
