As a Senior Associate in the Projects Team, you will be responsible for advising clients on project finance transactions and supporting the execution of complex infrastructure and development projects. You will work on the structuring, negotiation, documentation, and closing of financing transactions across sectors such as infrastructure, energy, renewable energy, transportation, and other project-driven industries.

The role requires strong legal drafting and negotiation skills, commercial awareness, attention to detail, and the ability to manage transactions from inception through closing.

## Requirements

Key Responsibilities

-   Advise lenders, borrowers, sponsors, developers, investors, and other stakeholders on **project finance transactions**.
-   Draft, review, negotiate, and finalize financing and transaction documents, including facility agreements, security documents, direct agreements, guarantees, undertakings, and related documentation.
-   Conduct legal due diligence for project finance and infrastructure transactions.
-   Advise clients on transaction structuring, financing arrangements, security creation, regulatory considerations, and risk allocation.
-   Review project agreements, concession agreements, EPC contracts, O&M agreements, offtake agreements, and other material project documents from a financing perspective.
-   Coordinate with internal teams, clients, financial institutions, consultants, and external stakeholders to ensure smooth transaction execution.
-   Identify and analyse legal, regulatory, contractual, and commercial risks and provide practical solutions.
-   Lead transaction workstreams and ensure timely completion of deliverables and closing requirements.
-   Mentor and supervise junior associates and support their development.
-   Assist partners in preparing legal opinions, transaction summaries, presentations, and client communications.
-   Stay updated on relevant regulatory and legal developments affecting project finance and infrastructure transactions.

-   Experience handling complex transactions independently
-   Strong understanding of financing structures and security arrangements

-   Ability to work effectively under tight timelines and manage multiple transactions simultaneously

Experience & Qualifications

-   **Experience: 4–6 years**
-   Qualified Advocate enrolled with the relevant Bar Council
-   Prior experience with a leading law firm, particularly in **Projects / Project Finance**, is preferred.
-   Strong exposure to lender-side and/or borrower-side project finance transactions will be an advantage.
