We are looking for a capable and detail-oriented **Associate** with a strong interest in **Banking Law and Banking & Finance** to support legal advisory, transactional, documentation, and regulatory matters within the financial-services sector.

The role is suited for a legal professional who wants to build strong expertise in banking and finance transactions while working on complex commercial and regulatory matters. You will assist senior lawyers and clients with legal research, drafting, due diligence, transaction execution, and regulatory compliance, while developing a practical understanding of the legal framework governing banks and financial institutions.

## Requirements

Key Responsibilities

-   Assist in advising clients on **banking law, financial-services regulations, and banking and finance matters**.
-   Support domestic and cross-border financing and lending transactions.
-   Review, draft, and negotiate legal documents including **facility agreements, loan agreements, security documents, guarantees, undertakings, and related transaction documentation**.
-   Conduct legal research on banking regulations, lending practices, financial transactions, and applicable statutory requirements.
-   Assist with legal due diligence for financing, investment, and corporate transactions.
-   Review security structures, financing arrangements, and documentation to identify legal and commercial risks.
-   Support the preparation and perfection of security interests, including relevant filings and documentation.
-   Assist senior lawyers in transaction structuring and provide research-based inputs on legal and regulatory considerations.
-   Review agreements and transaction documents for consistency, enforceability, compliance, and risk allocation.
-   Coordinate with clients, lenders, borrowers, consultants, and other transaction stakeholders.
-   Prepare legal opinions, research notes, transaction summaries, and supporting documentation as required.
-   Track transaction deliverables, conditions precedent, closing requirements, and documentation timelines.
-   Monitor developments in banking and financial-services laws and assess their potential impact on transactions.
-   Support regulatory compliance reviews and identify relevant legal requirements for banking and finance activities.
-   Maintain organised transaction records and ensure documentation is accurate and complete.
-   Contribute to efficient transaction execution while maintaining high standards of legal quality and confidentiality.

What Makes You a Great Fit

-   **1+ years of professional legal experience**, preferably with exposure to **Banking Law or Banking & Finance**.
-   Strong interest and foundational knowledge of banking regulations, financial transactions, and lending practices.
-   Experience reviewing and drafting commercial or finance-related legal documentation.
-   Understanding of **loan agreements, facility documentation, security documents, guarantees, and financing structures**.
-   Strong legal research and analytical skills with the ability to interpret legislation, regulations, case law, and contractual provisions.

-   A **LL.B. or equivalent law degree** from a recognised institution is required; additional qualifications or relevant specialisation in Banking & Finance Law would be an advantage.
