We are looking for a driven and detail-oriented **Legal Associate** with 2+ years of experience in **Mergers & Acquisitions (M&A), Corporate Law, and Contract Law**. The role will involve supporting a broad range of corporate transactions, commercial matters, contract drafting and review, legal due diligence, and corporate advisory activities.

The ideal candidate will have strong legal research and drafting skills, sound commercial awareness, and the ability to work effectively on complex and time-sensitive matters. You will collaborate with internal stakeholders, external counsel, and transaction teams to provide practical legal support while ensuring that business activities remain appropriately structured and compliant.

## Requirements

Key Responsibilities

-   Support **Mergers & Acquisitions (M&A)** transactions from initial evaluation through due diligence, documentation, negotiation, and closing.
-   Conduct legal due diligence and identify material legal, regulatory, contractual, and corporate risks.
-   Assist with preparation, review, and negotiation of transaction documents, including **term sheets, NDAs, LOIs, SPAs, SHAs, and ancillary agreements**.
-   Conduct legal research and provide analysis on corporate, commercial, and transactional matters.
-   Draft, review, negotiate, and manage a broad range of **commercial and corporate contracts**.
-   Review agreements to identify legal, commercial, liability, compliance, confidentiality, IP, indemnity, termination, and other contractual risks.
-   Support corporate restructuring, investments, joint ventures, strategic partnerships, and other corporate transactions.
-   Prepare legal opinions, transaction summaries, due diligence reports, and internal legal memoranda.
-   Coordinate with external counsel, consultants, advisors, and internal business teams on transaction-related matters.
-   Support corporate secretarial and governance activities, including board and shareholder documentation where required.
-   Track transaction deliverables, conditions precedent, closing requirements, and post-closing obligations.
-   Maintain accurate records of agreements, transaction documents, legal advice, and corporate documentation.
-   Assist in developing and maintaining contract templates, legal playbooks, checklists, and standard processes.
-   Monitor applicable changes in corporate and commercial laws and assess their potential business impact.
-   Provide timely and practical legal support to internal stakeholders while balancing legal and commercial considerations.

What Makes You a Great Fit

-   **2+ years of relevant legal experience** in corporate law, M&A, commercial law, or a related transactional practice.
-   Strong hands-on exposure to **Mergers & Acquisitions (M&A)** and corporate transactions.
-   Good understanding of **Corporate Law and Contract Law** and their practical application in business transactions.
-   Experience supporting legal due diligence, transaction documentation, negotiations, and closing processes.

-   Strong negotiation and stakeholder-management skills with a practical, business-oriented approach.
-   Ability to work independently while collaborating effectively with senior legal professionals, external counsel, and cross-functional teams.
-   LL.B. or equivalent law degree from a recognised institution; additional qualifications in corporate or commercial law are an advantage.
